1. Parties

This Commercial Lease Agreement (the "Lease") is made on [DATE] between [LANDLORD NAME], of [LANDLORD ADDRESS] (the "Landlord"), and [TENANT LEGAL NAME], a [ENTITY TYPE], of [TENANT ADDRESS] (the "Tenant").

2. Premises

3. Term

4. Rent

5. Operating Expenses and Taxes

6. Security Deposit and Guarantee

7. Permitted Use

The Tenant will use the Premises only for [PERMITTED USE] and for no other purpose without the Landlord's written consent. The Tenant will comply with all laws, zoning rules, and building rules applicable to its use, and obtain any business licenses required.

8. Maintenance and Repairs

The Landlord will maintain the roof, structure, and building systems serving the Premises and the common areas, [EXCEPT: EXCEPTIONS]. The Tenant will maintain the interior of the Premises, including [TENANT ITEMS, e.g. fixtures, doors, windows, HVAC within the Premises], in good condition, and will return the Premises at the end of the Term in the same condition as at commencement, except for normal wear and tear.

9. Alterations and Signage

The Tenant may not make structural alterations without the Landlord's written consent. Non-structural alterations over [AMOUNT] also require consent, which will not be unreasonably withheld. The Tenant may install signage in accordance with building standards and law, with the Landlord's approval. At the end of the Term the Tenant will remove its signage and, if required by the Landlord, alterations, and repair any damage.

10. Insurance and Indemnity

The Tenant will maintain commercial general liability insurance of at least [AMOUNT] naming the Landlord as additional insured, and insurance on its own property and improvements. The Landlord will insure the building. Each party will indemnify the other against claims arising from its own negligence or breach of this Lease.

11. Assignment and Subletting

The Tenant may not assign this Lease or sublet any part of the Premises without the Landlord's prior written consent, which will not be unreasonably withheld. The Tenant remains liable under this Lease after any assignment unless released in writing.

12. Default and Remedies

If the Tenant fails to pay rent within [NUMBER] days after written notice, or fails to cure any other breach within [NUMBER] days after written notice, the Landlord may exercise the remedies available under applicable law, including terminating this Lease and recovering possession and damages.

13. Governing Law and General Terms

This Lease is governed by the laws of [GOVERNING LAW JURISDICTION]. It is the entire agreement between the parties on its subject and may be amended only in writing signed by both parties. Notices must be in writing and sent to the addresses above.
