Brand Ambassador Agreement template

A brand ambassador agreement sets out an ongoing partnership: the ambassador's recurring content and appearances, exclusivity, retainer, commission and free product, content usage rights, conduct rules, and required ad disclosures.

A brand ambassador agreement is a contract for an ongoing relationship in which a person represents a brand over months, not a single campaign. It sets the ambassador's regular deliverables, exclusivity, pay (retainer, commission through a personal code or link, free product), how the brand may use their content and likeness, conduct rules, and how the relationship must be disclosed.

1. Parties and Term

This Brand Ambassador Agreement (the "Agreement") is made on [EFFECTIVE DATE] between [BRAND LEGAL NAME], of [BRAND ADDRESS] (the "Brand"), and [AMBASSADOR NAME / LEGAL ENTITY], of [AMBASSADOR ADDRESS] (the "Ambassador"), known on social media as [HANDLE(S)], together the "Parties". The term begins on [START DATE] and lasts [NUMBER] months (the "Term"). It [WILL / WILL NOT] renew automatically for further periods of [NUMBER] months unless either Party gives [NUMBER] days' written notice before the end of the current period.

2. Role and Deliverables

The Ambassador will represent [BRAND / PRODUCT LINE] during the Term and provide the following each month (the "Deliverables"): [e.g. 2 in-feed posts or Reels, 4 Stories, 1 TikTok video] on [PLATFORMS]; [NUMBER] appearances at [EVENTS / STORE VISITS / LIVE STREAMS] per [QUARTER]; and [OTHER, e.g. product feedback, one newsletter mention]. A content calendar for each month will be agreed by [DAY] of the previous month. Unused Deliverables [DO / DO NOT] roll over to the next month.

3. Exclusivity

During the Term and for [NUMBER] days after it ends, the Ambassador will not promote, endorse, or accept paid or gifted product from the following competing brands or category: [COMPETITORS / CATEGORY]. This does not restrict the Ambassador from working with brands outside that category, and the Ambassador may ask the Brand in writing to approve a specific exception. [OR: This Agreement is non-exclusive.]

4. Compensation

The Brand will pay the Ambassador: (a) a retainer of [AMOUNT AND CURRENCY] per month, payable by [DAY OF MONTH] for the previous month's Deliverables, on receipt of an invoice; (b) a commission of [PERCENTAGE]% of net sales (after discounts, returns, taxes, and shipping) made through the Ambassador's unique code [CODE] or link [LINK], tracked by [TRACKING PLATFORM], paid monthly within [NUMBER] days after the end of each month together with a sales report; and (c) product and perks of [DESCRIPTION, e.g. up to AMOUNT of product per quarter, event travel]. Commission is not paid on orders that are cancelled, refunded, fraudulent, or placed by the Ambassador. The Ambassador is responsible for their own taxes, and free product and perks may be taxable.

5. Content Standards and Approval

The Ambassador will create content in their own voice, following the Brand's guidelines in [BRAND GUIDELINES / EXHIBIT A], and will only make product claims listed in the approved claims sheet in [EXHIBIT B]. The Ambassador will not say they have used a product they have not tried, will not express views they don't hold, and will not make health, safety, or performance claims beyond the approved list. [OPTIONAL: Drafts of paid posts will be submitted at least NUMBER business days before publishing, with up to NUMBER rounds of revisions.] Each post will remain live for at least [NUMBER] days.

6. Disclosure of the Relationship

The Ambassador will clearly disclose the relationship with the Brand whenever they endorse or mention the Brand's products during the Term, including in posts that are not individually paid and in posts about free or discounted products. Disclosures will be placed in the post itself, not only in a profile or bio, behind a "more" link, or among other hashtags; will appear in the video or audio for video content and be repeated during live streams; and will use clear words such as "ad", "sponsored", or "[BRAND] Ambassador" or "[BRAND] Partner", in the same language as the post. The Ambassador will also use each platform's paid-partnership tool where available. The Brand may ask the Ambassador to correct or remove any post that lacks a clear disclosure or makes an unapproved claim, and the Ambassador will do so within [NUMBER] hours.

7. Ownership and Usage Rights

The Ambassador owns the content they create. The Ambassador grants the Brand a [NON-EXCLUSIVE / EXCLUSIVE], [WORLDWIDE / TERRITORY] license to repost, share, and use the content, and the Ambassador's name, handle, approved biography, and likeness in connection with it, on the Brand's [ORGANIC SOCIAL CHANNELS / WEBSITE / EMAIL / PAID ADS / IN-STORE MATERIALS] during the Term and for [NUMBER] months after it ends. [OPTIONAL: The Ambassador will grant whitelisting or partnership-ad access to their account for paid ads, for up to NUMBER months, at an additional fee of AMOUNT.] The Brand will not edit content in a way that changes its meaning. Any use beyond these terms requires written agreement.

8. Conduct and Reputation

Each Party will avoid conduct during the Term that is illegal or that would reasonably be expected to bring the other into serious public disrepute. The Ambassador will not buy fake followers, likes, or reviews, and will follow the rules of each platform. Either Party may end this Agreement immediately by written notice if the other Party breaches this section in a way that materially harms its reputation.

9. Reporting

By [DAY] of each month, the Ambassador will share screenshots or exports of available metrics for the previous month's content, including reach, impressions, engagement, and link clicks. The Brand will share the commission sales report described in Section 4.

10. Termination

Either Party may end this Agreement for any reason with [NUMBER] days' written notice, or for a material breach not cured within [NUMBER] days of written notice. On termination, the Brand will pay the retainer pro rata for Deliverables completed, and commission on qualifying sales made before the termination date. The Ambassador will stop presenting themselves as an ambassador, may leave past posts online [WITH / WITHOUT] the Brand's consent, and will return any unused loaned items.

11. Independent Contractor, Confidentiality, and General Terms

The Ambassador is an independent contractor, not an employee, agent, or partner of the Brand, and controls how and when the content is made within the agreed calendar. Each Party will keep confidential the other's non-public information, including launch dates, pricing, and the terms of this Agreement. This Agreement is governed by the laws of [GOVERNING LAW JURISDICTION], is the entire agreement between the Parties on its subject, and may be changed only in writing. The Parties agree that this Agreement may be signed electronically and in counterparts, each of which is an original and all of which together form one agreement.

12. Signatures

BRAND: [BRAND LEGAL NAME] Signature: ____________________ Name: [SIGNATORY NAME] Title: [SIGNATORY TITLE] Date: [DATE] AMBASSADOR: [AMBASSADOR NAME] Signature: ____________________ Date: [DATE]

Our take: Our take: an ambassadorship is a relationship, so write it like one. Where an influencer agreement buys a defined set of posts for one campaign, this agreement covers a standing commitment: a monthly content rhythm, a category exclusivity the ambassador can live with, a commission code that must be tracked honestly, and an exit that doesn't leave either side stuck. The disclosure point people get wrong is that the connection exists all the time, not just in paid posts. FTC staff guidance says a person hired as an ambassador has a financial connection whether or not a particular post is paid, that free or discounted products count, that a profile bio or a vague word like "ambassador" on its own is not enough, and that a personalized discount code may not make the paid relationship clear. The FTC also expects brands to train and monitor their ambassadors. So we put the disclosure rules, the approved claims, and the brand's right to ask for corrections in the contract itself. For one-off posts use the influencer agreement; for event or team sponsorships see the sponsorship agreement; and if the ambassador mainly earns on referred sales, compare our commission agreement.

When should you use a brand ambassador agreement?

  • When a brand signs a creator, athlete, or customer to represent it for several months or a year
  • When ambassadors earn commission through a personal discount code or affiliate link on top of, or instead of, a fee
  • When you want category exclusivity, for example no competing skincare or sports drinks during the term
  • When ambassadors receive free product, event access, or other perks that must be disclosed
  • When you run a program with many ambassadors and need the same rules, approved claims, and disclosure terms for each

How do you fill in this template?

  1. Set the term and renewal, then write the monthly Deliverables as concrete numbers per platform.
  2. Define exclusivity narrowly by category and competitor names so the ambassador can still take other work.
  3. Choose the pay mix (retainer, commission rate and code, product allowance) and explain how sales are tracked and reported.
  4. Attach your brand guidelines and a short list of approved claims, and keep the disclosure rules in Section 6 as written for US audiences, checking local rules for other markets.
  5. Fill in the usage period and any paid-ad rights, then upload the agreement to eSignSimple, save it as a template for your whole program, and send it for e-signature. Ambassadors sign from their phone without creating an account.

How do you get it signed online?

  1. Save it as Word or PDF. Paste the filled-in text into Word or Google Docs and keep it as a .docx file, or export it as a PDF. eSignSimple accepts both, plus DOC, ODT and RTF, up to 25 MB; Word files are converted to PDF on upload.
  2. Upload and place the fields. Sign up with Google, upload the file and drag signature, initials, date and text fields onto the page for each signer. Set a signing order if one party must sign first.
  3. Send it for signature. Each signer gets a private link and signs in the browser without creating an account. Automatic email reminders go out every three days (up to three) until everyone has signed.
  4. Keep the signed copy. When the last person signs, everyone can download the final PDF with a certificate of completion, an audit trail and a SHA-256 fingerprint you can verify later.

Frequently asked questions

What is the difference between a brand ambassador and an influencer agreement?

An influencer agreement usually buys specific posts for one campaign. A brand ambassador agreement covers an ongoing relationship over months, with recurring content, exclusivity, commission codes, and conduct rules that apply for the whole term.

Do brand ambassadors have to disclose that they are ambassadors?

In the US, yes, whenever they endorse the brand. FTC staff guidance says the financial connection exists even for posts that aren't individually paid, that free products count, and that a bio mention or the word "ambassador" alone is not a clear enough disclosure. Other countries have their own rules.

Is a personal discount code enough of a disclosure?

Probably not on its own. FTC staff say a personalized code may show that some relationship exists, but not necessarily that the ambassador earns money from it, so add a clear disclosure such as "ad" or "[Brand] Partner".

Is a brand ambassador an employee or a contractor?

This template treats the ambassador as an independent contractor. Whether that label holds depends on the real working relationship and local law, so avoid controlling hours and methods the way you would for staff.

Can a brand ambassador agreement be signed electronically?

Yes. Electronic signatures are generally valid for commercial contracts like this in the US and many other countries. eSignSimple adds an audit trail and certificate of completion to each signed agreement.
