Is an electronic signature legal in Germany?

Short answer: Yes. Under eIDAS, an electronic signature cannot be denied legal effect just because it is electronic, and most German contracts have no form requirement. Where the BGB requires written form (Schriftform), you generally need a qualified electronic signature, and a few documents cannot be signed electronically at all.

The laws

eIDAS Regulation (EU) No 910/2014, as amended by Regulation (EU) 2024/1183

Directly applicable across the EU. It defines simple, advanced and qualified electronic signatures. Article 25 provides that an electronic signature cannot be denied legal effect or admissibility as evidence solely because it is electronic, and that a qualified electronic signature (QES) has the equivalent legal effect of a handwritten signature.

Bürgerliches Gesetzbuch (BGB) §§126, 126a, 126b

§126 defines written form as a handwritten signature and, in §126(3), allows it to be replaced by electronic form unless the law provides otherwise. §126a defines electronic form as the issuer's name plus a qualified electronic signature. §126b defines text form: a readable declaration naming the person, on a durable medium, with no signature needed.

Vertrauensdienstegesetz (VDG)

The Trust Services Act of 18 July 2017 (BGBl. I S. 2745) implements eIDAS in Germany, including supervision of trust service providers.

Zivilprozessordnung (ZPO) §371a

Under §371a(1), the rules on the evidential value of private documents apply to electronic documents bearing a qualified electronic signature.

Form levels in German law

Most contracts in Germany can be concluded without any particular form, so a simple electronic signature with an audit trail is valid evidence of agreement for NDAs, service agreements, sales contracts and most freelance work.

When a statute requires written form (§126 BGB), the electronic equivalent is electronic form under §126a BGB: the signer's name plus a qualified electronic signature (QES). For a contract, each party must sign an identical document this way. Where a law requires only text form (§126b BGB), no signature is needed at all, so an email or a simple e-signature is enough.

Where electronic form is excluded

Some provisions require written form and expressly exclude electronic form, so even a QES does not work. The main examples are terminating an employment relationship or signing a termination agreement (§623 BGB), a guarantee (Bürgschaft, §766 BGB) and a debt promise or acknowledgment (§§780, 781 BGB).

Other documents need a notary: contracts to transfer land (§311b(1) BGB) and GmbH share transfers (§15(3) and (4) GmbHG). A holographic will must be written and signed entirely by hand (§2247(1) BGB).

Leases, consumer credit and employment terms

A residential lease for more than one year that is not in written form is treated as concluded for an indefinite term (§550 BGB). For commercial and land leases, §578(1) BGB applies this rule with text form instead of written form. Consumer loan agreements must be concluded in writing (§492(1) BGB), and timeshare contracts also require written form (§484(1) BGB).

Under the Nachweisgesetz (§2(1) NachwG), employers must give employees the essential terms of employment in signed form or, alternatively, in text form electronically, provided the employee can access, save and print the document and the employer requests confirmation of receipt. The electronic option is not available in sectors listed in §2a of the Schwarzarbeitsbekämpfungsgesetz.

Check whether a document has a form requirement before choosing a signature level. Use a simple e-signature with an audit trail for form-free contracts, a QES for written-form contracts where electronic form is permitted, and paper or a notary where it is not.
