Sponsorship Agreement template

A sponsorship agreement sets out what a sponsor pays or provides, and what the sponsored party gives in return, such as logo placement, naming rights, promotion, and hospitality.

1. Parties

This Sponsorship Agreement (the "Agreement") is entered into as of [EFFECTIVE DATE] between [SPONSOR NAME], located at [SPONSOR ADDRESS] (the "Sponsor"), and [SPONSORED PARTY NAME], located at [ADDRESS] (the "Organizer").

2. Sponsored Property

The Sponsor agrees to sponsor [EVENT / TEAM / PROGRAM / CHANNEL NAME], [DESCRIPTION, e.g. an annual conference held on DATES at VENUE] (the "Property"), at the [SPONSORSHIP LEVEL, e.g. Gold] level.

3. Sponsorship Fee

The Sponsor will pay the Organizer [AMOUNT AND CURRENCY] (the "Fee"), payable [PAYMENT SCHEDULE, e.g. 50% within 14 days of signing and 50% by DATE]. [OPTIONAL: The Sponsor will also provide the following in-kind contributions: PRODUCTS / SERVICES, valued at VALUE.] Fees are exclusive of applicable taxes.

4. Sponsor Benefits

In return, the Organizer will provide the following benefits: [LIST BENEFITS, e.g. logo on event website and signage; booth space of SIZE; X complimentary passes; speaking slot; mentions in newsletters and social posts; naming rights for SESSION]. Details and deadlines are set out in [EXHIBIT A].

5. Exclusivity

The Sponsor will be the exclusive sponsor in the [CATEGORY, e.g. banking] category for the Property during the Term. The Organizer will not accept sponsorship from direct competitors in that category. [OR: This sponsorship is non-exclusive.]

6. Trademark License

Each party grants the other a limited, non-exclusive, non-transferable license to use its name, logos, and trademarks solely to perform this Agreement, in accordance with any brand guidelines provided. Each party will submit materials using the other's marks for approval at least [NUMBER] business days before use. All goodwill remains with the owner of the marks.

7. Organizer Obligations

The Organizer will deliver the Property substantially as described, deliver the benefits in Section 4, obtain all permits and insurance required for the Property, and provide the Sponsor with a post-sponsorship report including [METRICS, e.g. attendance, impressions, lead lists where lawfully permitted] within [NUMBER] days after the Property ends.

8. Cancellation and Make-Goods

If the Property is cancelled or materially changed, the Organizer will promptly notify the Sponsor and, at the Sponsor's option, either provide equivalent substitute benefits or refund the portion of the Fee attributable to benefits not delivered. Neither party is liable for delays caused by events beyond its reasonable control.

9. Term and Termination

This Agreement runs from the Effective Date until [END DATE]. Either party may terminate for material breach not cured within [CURE PERIOD] days of written notice, or immediately if the other party's conduct brings it into serious public disrepute.

10. Indemnification and Insurance

Each party will indemnify the other against third-party claims arising from its own negligence, breach of this Agreement, or infringement by materials it supplies. The Organizer will maintain general liability insurance of at least [AMOUNT] for the Property.

11. Governing Law and General Terms

This Agreement is governed by the laws of [GOVERNING LAW JURISDICTION]. It is the entire agreement between the parties on its subject, may be amended only in writing signed by both parties, and may not be assigned without the other party's written consent.
