Influencer Agreement template

An influencer agreement sets out what content a creator will produce for a brand, when and where it will be posted, how it is approved and disclosed, who can reuse it, and how the creator is paid.

1. Parties

This Influencer Agreement (the "Agreement") is entered into as of [EFFECTIVE DATE] between [BRAND NAME], located at [BRAND ADDRESS] (the "Brand"), and [INFLUENCER NAME / LEGAL ENTITY], located at [INFLUENCER ADDRESS] (the "Influencer"), known on social media as [HANDLE(S)].

2. Campaign and Deliverables

The Influencer will create and publish the following content promoting [PRODUCT / SERVICE / CAMPAIGN] (the "Content"): [DELIVERABLES, e.g. 1 Instagram Reel, 3 Stories with link sticker, 1 TikTok video], on [PLATFORMS], between [START DATE] and [END DATE], according to the schedule in [SCHEDULE / EXHIBIT A]. Each post will remain live for at least [MINIMUM DAYS] days.

3. Content Guidelines and Approval

The Influencer will follow the Brand's creative brief and guidelines provided in [BRIEF / EXHIBIT B], while retaining their own voice and style. The Influencer will submit drafts to the Brand at least [NUMBER] business days before posting. The Brand may request up to [NUMBER] rounds of reasonable revisions. Content will not be published without the Brand's approval, which will not be unreasonably withheld.

4. Disclosure

The Influencer will clearly disclose the paid relationship in each piece of Content in accordance with applicable advertising laws, platform rules, and guidelines, for example by using the platform's paid-partnership label and hashtags such as [#ad / #sponsored]. The Influencer will not make claims about the product that are false, misleading, or unsupported.

5. Compensation

The Brand will pay the Influencer [TOTAL FEE AND CURRENCY], payable [PAYMENT SCHEDULE, e.g. 50% on signing and 50% within 30 days of final post], upon receipt of an invoice. [OPTIONAL: The Influencer will also receive PRODUCT / AFFILIATE COMMISSION OF PERCENTAGE on sales through code or link.] The Influencer is responsible for their own taxes.

6. Ownership and Usage Rights

The Influencer owns the Content. The Influencer grants the Brand a [NON-EXCLUSIVE / EXCLUSIVE], [WORLDWIDE / TERRITORY] license to repost, share, and use the Content on the Brand's [ORGANIC CHANNELS / PAID ADS / WEBSITE / EMAIL] for [USAGE PERIOD, e.g. twelve (12) months] from first publication. Any use beyond this requires a separate agreement. The Influencer grants the Brand the right to use the Influencer's name, handle, and likeness in connection with permitted uses of the Content.

7. Exclusivity

During the term and for [NUMBER] days after, the Influencer will not create sponsored content for the following direct competitors: [COMPETITORS / CATEGORY]. [OR: This Agreement is non-exclusive.]

8. Performance Reporting

Within [NUMBER] days after each post, the Influencer will provide screenshots or exports of available metrics, including reach, impressions, engagement, and link clicks.

9. Conduct and Morality

Either party may terminate this Agreement with written notice if the other party engages in conduct that is illegal or that brings them into serious public disrepute and would reasonably be expected to harm the other party's reputation.

10. Term and Termination

This Agreement runs from the Effective Date until [END DATE] or completion of the deliverables. Either party may terminate for material breach not cured within [CURE PERIOD] days of written notice. On termination, the Brand will pay for Content delivered and approved before termination.

11. Independent Contractor and Confidentiality

The Influencer is an independent contractor, not an employee or agent of the Brand. The Influencer will keep confidential any non-public information about the campaign, products, or launch dates until the Brand makes it public.

12. Governing Law and General Terms

This Agreement is governed by the laws of [GOVERNING LAW JURISDICTION]. It is the entire agreement between the parties on its subject and may be amended only in writing signed by both parties. Neither party's liability for indirect or consequential damages is covered, except as required by law.
