Sales Contract (Bill of Sale Agreement) template

A sales contract records the sale of goods between a seller and a buyer, including what is sold, the price, delivery, when ownership passes, and any warranties.

1. Parties

This Sales Contract (the "Contract") is made on [DATE] between [SELLER NAME], of [SELLER ADDRESS] (the "Seller"), and [BUYER NAME], of [BUYER ADDRESS] (the "Buyer").

2. Goods

3. Purchase Price

7. Warranties

8. Returns and Remedies

9. Governing Law and General Terms

What is the difference between a sales contract and a bill of sale?

A sales contract sets out the terms of a sale before or as it happens, including delivery and payment. A bill of sale is often a simpler receipt confirming that ownership has transferred.

Does selling something "as is" remove all warranties?
